REGULATIONS CHANGE STUDIO
I. General provisions

  1. These Regulations, hereinafter referred to as “Regulations”, define the rights and obligations of the members of Change Studio operated
    by Change Studio Spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw at Stawki 2A/51, 00-193 Warsaw,
    entered into the register of entrepreneurs kept by the District Court for the City of Warsaw in Warsaw, XIII Commercial Division of the
    National Court Register under the KRS number 0000971703, using the NIP number 525907995, with the share capital of PLN 5,000.00.
  2. Change Studio means the premises of Change Studio sp. z o.o. at 22 Towarowa Street or 42 Dobra Street in Warsaw.
  3. The Terms and Conditions are an integral part of the membership agreement, hereinafter referred to as the “Agreement”, concluded
    between Change Studio sp. z o.o. and the customer, hereinafter referred to as the “Member”.
  4. People who have concluded a contract with Change Studio and therefore have a valid membership for the provision of services are
    entitled to use the services offered at Change Studio.
  5. Only persons 18 years of age or older, or persons 16 years of age or older are allowed on the Change Studio premises, in which case a
    legal guardian’s consent is required to participate in the activities. In this situation, the consent is signed by the guardian in the presence
    of Change Studio staff and at the chosen Change Studio venue. The consent is kept on file at Change Studio.
  6. Before using Change Studio services for the first time, the Member is required to read these Terms and Conditions.
    II. Membership of Change Studio
  7. An adult with full legal capacity or a person over 16 years of age with the consent of a legal guardian may become a member of Change
    Studio.
  8. When signing the contract, the Change Studio member is obliged to take a photo confirming his/her identity or provide a current photo
    by e-mail to office@studiochange.pl within 3 days from the day of signing the contract. If the photo is not provided, Change Studio may
    withdraw from the contract.
  9. The contract is concluded for a fixed period of 1 month or 1 year.
  10. With the conclusion of the Agreement, the Member receives a named pass, which he/she is obliged to present upon entering the
    Change Studio. Change Studio staff has the right to refuse entry to Change Studio to a person who does not have an active
    membership.
  11. The pass shall be activated as soon as possible after payment has been made or at a date agreed by the Parties.
  12. Change Studio staff may request to see a valid ID card in order to properly identify the Member.
  13. Lending or any other form of transfer of membership by a Member to a third party is prohibited.
  14. The member must, within three working days of termination or cancellation of the contract, return the membership card to the Change
    Studio reception desk for destruction. If this deadline is missed, the club will block the assigned card.
  15. In case of loss, destruction or any other accident leading to the loss of the pass, Change Studio will charge a fee of PLN 50 net for
    making a duplicate.
    III. Payments
  16. Payments for individual services are made in advance, in accordance with the Price List and the agreed billing periods.
  17. When signing the contract, the member chooses one of the available forms of payment for membership. The form of payment can be
    changed by informing Change Studio in advance, by submitting an appropriate request to the e-mail address: office@studiochange.pl or
    at the Change Studio reception, at least 14 working days in advance.
  18. Fees are payable for individual billing periods. Payment for individual periods shall be made by the Member each time by the date
    indicated in the contract.
  19. By signing the Agreement, the Member agrees to pay the pass fees for the duration of the Agreement.
    IV. Termination and dissolution of the Agreement
  20. The Club is entitled to terminate the Agreement immediately or suspend the provision of services in situations where:
    A. other exceptional events occur, due to which Change Studio, despite the exercise of due diligence, will not be able to provide the
    services in accordance with the Agreement, will be forced, through no fault of its own, to cease to provide the services in
    accordance with the Agreement.
    B. The Member will transfer the rights and obligations under the Contract to a third party without the required consent of the Club.
    C. The Member provides false data or uses forged documents when signing the Agreement.
    D. The member will make his/her membership card available to a third party for the unauthorised use of Change Studio services.
    E. The Member’s behaviour will be in breach of the Agreement or the Rules and Regulations or the rules of social coexistence, after
    the Member has been given an ineffective notice to cease the breach within 7 days. It is not necessary to set a time limit for the
    cessation of violations if the Member’s behaviour does not entail a risk to the health or life of the Member or other persons in the
    Change Studio.
    F. The member will not accept the changes made to the Rules.
  21. In the event of the closure of Change Studio and the inability to provide services to the Member, the pass is automatically suspended for
    the period of inability to provide services. In this case, the expiry date of the membership shall be extended corresponding to the period
    of closure of Change Studio.
  22. Change studio is entitled to terminate the Agreement with immediate effect if the Member is in arrears with the resulting payments, after
    the Member has been called on to pay within 7 days without success.
  23. The member may give notice of termination of a contract concluded for a fixed term of one year, with the choice of recurring payments,
    in writing at the Change Studio reception desk or by email: office@studiochange.pl. The notice period is two months with effect at the
    end of the calendar month.
  24. The member may, within 14 days of the conclusion of the contract, withdraw from the contract without stating a reason and without
    incurring costs.
  25. In the event of termination of the Agreement during the billing period, the service charge shall be calculated on a pro rata basis.
    V. Principles of using Change Studio services
  26. Use of the Change Studio is possible on all days during the opening hours of the Change Studio, with group classes being held in
    accordance with the group class schedule set by the Change Studio. Change Studio is open during the hours and days specified on the
    Change Studio website www.studiochange.pl and at the Change Studio reception desk.
  27. Every customer using the Change Studio is obliged to observe the principles of cleanliness and generally accepted standards of correct
    behaviour and, in particular, to
    A. comply with the instructions for use of the individual Change Studio rooms and the equipment and instruments therein.
    B. To care for and respect the property located in the Change Studio.
    C. Wearing sportswear and replacement sports footwear (different from that in which the Member came to Change Studio) designed
    for exercise in the halls (non-marking sole).
    D. Use of towels when exercising on machines and mats.
    E. To follow the recommendations of instructors, trainers and Change Studio staff.
  28. It is strictly prohibited on the Change Studio premises:
    A. Smoking, including electronic cigarettes.
    B. Use of any drugs, doping substances or narcotics.
  29. In the event of a breach of these Terms and Conditions, or those in breach of the rules of order will be ejected from Change Studio and
    contracts terminated with immediate effect.
  30. Change Studio may make changes to the schedule of group classes upon prior notification to Members by email, posting of information
    on the Change Studio website and at Change Studio reception.
  31. The client/entity providing services on the premises of the club (in particular private training sessions), is obliged to obligatorily inform
    the owner of Change Studio, about the provision of services to their individual clients and obtain his/her consent.
  32. If the membership card is destroyed or lost, a duplicate must be made, the cost of which is set out in the Price List.
  33. The Member may assign the rights under the Contract to another person after informing Change Studio and obtaining Change Studio’s
    consent to rewrite the Contract.
    VI. Gym area and group classes at Change Studio
  34. When using the gym or group classes, the Member is obliged to follow the instructions and directions of the gym instructor or trainer.
  35. When exercising with sports equipment, the Member is required to use a towel, placed on the equipment used.
  36. The member is obliged to use the sports equipment, located in the Change Studio, in accordance with its purpose and the instructions
    of the Change Studio staff.
  37. When training is over, the Member is obliged to put the equipment back in its place and leave it tidy.
  38. Training in the Gym Zone is not limited by a time limit. Change Studio does not book places in the Gym Zone.
  39. A member can cancel bookings for group classes no later than twelve hours before the start of the class. Cancellations can be made in
    person at the Change Studio reception, via the customer portal or by telephone.
  40. In the event of cancellation in less than 12h, the Member will be deemed to have turned up for the class and used up the attendance.
  41. Two absences from a group class within 14 calendar days means that the Member’s account is blocked for booking a place at the group
    class for a further 14 days.
  42. During the duration of the account lockout, the Member can purchase access to group classes according to the Single Entry Price List,
    available at the Change Studio reception and on the website.
  43. The Member is obliged to enter the group class room on time. For safety reasons, the Group Class Instructor (hereinafter: “Instructor”)
    may ask a late Member to leave the room.
  44. A member attending a group class for the first time is required to inform the Instructor prior to the start of the group class.
  45. It is the responsibility of the member taking group classes to inform the Instructor if they are unwell, injured, pregnant or have any
    serious health problems.
  46. Only Change Studio staff are authorised to control Change Studio’s audio equipment, air conditioning and lighting.
  47. Change Studio reserves the right to change the start and end times of group classes, change the type of class or Instructor, and cancel
    group classes in emergency situations or when changes are made to the schedule.
    VII. Personal Training Service
  48. Change Studio offers the Member the opportunity to enter into an Agreement under which the Member will be entitled to use the
    Personal Training service, after booking an appointment with a Trainer.
  49. Trainer means a person providing a service on behalf of Change Studio who is qualified to practise as a Personal Trainer and Instructor.
  50. Personal Training can only be carried out by a Trainer providing services to Change Studio.
  51. Purchased Personal Training is only carried out on the Change Studio premises in accordance with the selected offer.
  52. The use of Personal Training is always carried out on the basis of an Agreement under the terms and conditions set out in these Terms
    and Conditions.
  53. The possibility to use the service is conditional on having an active membership.
  54. The customer pays in advance using the available payment methods.
  55. The type and price of Personal Training depends on the package selected from the range of services available on the Website and at the
    Change Studio reception.
  56. The length of a single workout within a purchased Personal Training depends on the type of offer selected.
  57. The member has the right to cancel the Personal Training no later than 24 hours before the start time. The booking will then be cancelled
    free of charge.
  58. In the event of cancellation within a period shorter than that set out in clause 10 above, the single training session shall be deemed to
    have been used and the Member shall not be entitled to a refund of the fee for the unused Personal Training.
  59. The Trainer has the right to cancel a Personal Training no later than 24 hours before the start time of the scheduled training. In the case
    of rescheduling on the day of training – the Client has the right to lodge a complaint.
  60. If a Coach or Member is up to 15 minutes late for a training session, with the agreement of the other party, the training session may be
    extended by the time of the lateness.
  61. If a Trainer is more than 15min late for a workout, with the Member’s consent, the workout may be extended by the time of the lateness
    and, if not, the Member is entitled to receive an additional free workout beyond the workouts purchased as part of the Personal Training
    purchased.
  62. If a Member is more than 15min late, the Trainer has the right to refuse the workout and consider the workout done.
  63. Each Personal Training service is subject to a statute of limitations. If the statute of limitations expires and the Member does not use the
    pool of purchased workouts, the Member is not entitled to a refund corresponding to the number of unused workouts.
    VIII. Spa service
  64. A booking is only considered binding if confirmed by email, telephone or social media by a Change Studio employee.
  65. As with all treatments, there are some contraindications to the spa services offered by Change Studio, such as:
    A. Fever, malaise, infectious disease.
    B. Haemorrhages, bleeding.
    C. Varicose veins.
    D. Skin diseases accompanied by blisters, pimples and skin breaks.
    E. Inflammatory and allergic skin conditions (ringworm, ulcers, boils).
    F. Haemophilia.
    G. First trimester of pregnancy, pregnancy at risk (massage for pregnant women only with the consent of the attending physician).
    H. Untreated hypertension.
    I. All forms of cancer, massage possible 5 years after cure.
    J. Atherosclerosis.
    K. Diseases with a viral or bacterial origin.
    L. Condition immediately after myocardial infarction.
    M. Thrombophlebitis.
    N. Advanced varicose veins with ulceration, aneurysms.
    O. Fresh adhesion.
    P. Advanced osteoporosis.
    Q. Early conditions following bone fracture or lack of bone fusion.
    R. Early status post rupture/tear of fascia, tendons and muscles.
    S. Bleeding and post-traumatic haemorrhages in muscles (up to 72h after injury).
    T. Gastric ulcer, duodenal ulcer, kidney stones, liver stones.
    U. Inflammatory conditions of the biliary tract and pelvic organs.
    V. Inflammatory conditions of the lymph nodes.
    W. Inflammatory conditions
  66. The purchase of a spa service from Change Studio’s offer is tantamount to the Customer’s declaration that he/she has no health
    contraindications to use the services offered by Change Studio and that he/she has read and accepts the terms of these Regulations.
  67. The client is obliged to cancel or reschedule the service no later than 24 hours before the date of the booking.
  68. In the interest of quality service, the client is required to arrive at the booked treatment 5 minutes before the agreed time in order to
    prepare for the service. The agreed time of the service is the time of its beginning.
  69. If the client is late for the scheduled treatment, Change Studio reserves the right to reduce the service time by the time of lateness, and
    in case of lateness of more than 15 minutes to cancel the booking.
    IX. Health conditions required for participation in group activities and eligibility for services at Change Studio
  70. If there is any doubt about his or her fitness or ability to exercise, the Member should seek independent medical advice before
    undertaking any exercise.
  71. A Member suffering from a diabetic condition, heart disease, low or high blood pressure or other medical conditions and a Member who
    is pregnant should, before using Change Studio services, consult a doctor.
    X. Customer property
  72. For the duration of their stay at Change Studio, the Member is provided with a clothes locker, located in the cloakroom, which is
    lockable by code.
  73. The member is only required to store belongings in the locker provided in the changing room, which may only be used during a visit to
    the Change Studio.
  74. Change Studio has the right to open a locker that has been left locked after the Member has left Change Studio. Any items left behind
    will be available for collection at the Change Studio reception desk of the premises concerned.
  75. Change Studio declares that a video surveillance system may be installed on the premises of Change Studio. The locations subject to
    camera recording are presented for the Client’s information. The purpose of the monitoring is to increase the safety of those using the
    facility and to reduce reprehensible behaviour.
    XI. Complaint procedure
  76. Any irregularities in matters concerning the provision of services by Change Studio must be brought to the attention of Change Studio.
  77. The member has the right to make complaints relating to the provision of services, in particular by e-mail or in writing to Change Studio
    (marked “Complaint”).
  78. The complaint should contain at least the Member’s name and surname together with the reason for the complaint and the content of
    the request.
  79. Complaints will be dealt with by Change Studio within 14 working days of receipt. The Member will be notified of Change Studio’s
    decision by post or email.
    XII. Amendments to the Rules of Procedure
  80. The content of the Terms and Conditions is subject to change for important reasons, among others. Valid reasons include:
    A. Change of company, legal form or registered office.
    B. Introducing new technologies for using Change Studio.
    C. The need to adapt the Rules of Procedure due to the amendment or entry into force of new generally applicable legislation.
    D. The need to adapt the Rules of Procedure due to a final administrative decision or a final court judgement.
    E. Introduction of security measures, absolutely necessary to ensure the safety of persons.
    F. Change in the products offered by Change Studio, including a change in the Offer or the Price List.
    G. Change the arrangements for the mechanism for verifying a Member’s entitlement to Change Studio services, in particular the use
    of the membership card.
    H. Change of possible payment method.
    I. A change justified by the need to improve the customer service process or the quality of service provided.
    J. A change resulting from the extension of Change Studio’s functionality or the scope of services provided by Change Studio –
    insofar as it concerns these new functionalities or services.
  81. Amendments to the By-Laws shall be communicated immediately by sending to the Member’s email address and by posting the current
    content on the Change Studio website.
  82. Delivery of the content of the changes will be made at least 14 days in advance.
  83. The period indicated in paragraph 3 may be shorter when:
    A. The change will be caused by a change in the generally applicable legislation, and the time between the publication of the
    legislation that necessitates the change and its entry into force is less than one month.
    B. The change is caused by a final decision of a public administration body or a final court judgement that orders the change to be
    implemented within less than one month.
    C. The changes relate to improved security at Change Studio.
  84. The Member will be informed of any change to the Terms and Conditions by: email to the email provided when signing the Contract. On
    the Member’s first visit to Change Studio after the Rules and Regulations have been amended, the Member is required to sign and
    accept the amended Rules and Regulations. Failure to accept the Terms and Conditions is grounds for termination of the Agreement in
    accordance with Section IV, paragraph 1 of the Terms and Conditions.
    XIII. Principles of personal data processing
  85. In accordance with Article 13(1) and (2) of the General Data Protection Regulation of 27 April 2016. (hereinafter “RODO”), Change Studio
    informs you that it is the Controller of your personal data.
  86. The Member’s personal data is processed for the purposes of:
    A. Necessary for the performance of an Agreement to which the Member and the Administrator are parties to take steps prior to the
    conclusion of that Agreement, on the basis of Article 6(1)(b) of the DPA.
    B. Fulfilment of statutory obligations incumbent on the Administrator, arising in particular from tax and accounting legislation, on the
    basis of Article 6(1)(c) of the DPA.
    C. Resulting from the legitimate interests pursued by the Administrator, i.e. the assertion of claims under the concluded Agreement, on
    the basis of Article 6(1)(f) RODO.
  87. The Member’s personal data may be transferred to or accessed by entities that provide: email hosting services, legal services, payment
    services and entities that own the servers on which the personal data is stored.
  88. The Member’s personal data will be processed for the duration of the Agreement and thereafter for the period necessary to:
    A. Safeguarding or enforcing potential claims of the parties to the Contract.
    B. To comply with the Administrator’s legal obligation under tax or accounting legislation.
  89. The member has the right of access to the content of his/her personal data and the right to rectification, erasure, restriction of
    processing, the right to data portability, the right to object to the processing of personal data.
  90. The member has the right to lodge a complaint with the President of the Data Protection Authority.
  91. The provision of personal data is voluntary, but necessary for the Administrator to fulfil the above-mentioned purposes. The
    consequence of failing to provide personal data will be the inability to perform the Agreement.

    XIV. Final provisions
  93. Matters not covered by the provisions of these Rules shall be governed by generally applicable regulations, including in particular the
    provisions of the Civil Code.
  94. The Contract and the Terms and Conditions shall be governed by Polish law. Any disputes that may arise in connection with the
    conclusion of the Contract shall be dealt with by the common courts.
  95. Change Studio informs the Member who is a consumer of the possibility to use out-of-court complaint and redress procedures. The
    rules of access to these procedures are available at the offices or on the websites of entities authorised to handle disputes out of court.
    These may include, in particular, consumer ombudsmen, a list of which is available on the website of the Office of Competition and
    Consumer Protection.
